Summary:
These Terms of Service ("Terms") govern your use of our website (the "Site") and the project management services provided by ACH Project Ventures LLC ("we," "us," or "our"), a Virginia limited liability company. By using the Site or engaging our services, you agree to these Terms.
1. Acceptance of Terms
By accessing the Site, submitting an inquiry, booking a scoping call, or entering into a service agreement with us, you agree to these Terms. If you do not agree, do not use the Site or engage our services.
2. Use of the Site
You may browse, read, and share content on the Site for lawful purposes. You may not:
Use the Site for any illegal purpose or in violation of these Terms
Attempt to access non-public areas of the Site or our systems
Interfere with the operation of the Site (including via bots, scraping, or DDoS)
Reproduce, duplicate, or commercially exploit Site content without written permission
Misrepresent your identity or affiliation in any communication
3. Services Overview
ACH Project Ventures LLC provides IT project management and related advisory services, including:
IT project management (end-to-end project delivery)
Software implementation coordination
Product ownership and post-launch platform management
System integration coordination
Workflow automation (Zapier-based)
Project rescue and governance recovery
Specific services, deliverables, timelines, and fees are governed by a Master Services Agreement (MSA) and project-specific Statement of Work (SOW) executed at the start of each engagement.
Nothing on this Site constitutes a binding offer to provide services. Service engagements are formed only when an MSA and SOW are signed by both parties.
4. Engagement Models
We offer three engagement structures, each governed by its own commercial and termination terms in the MSA:
Contract Engagement — Full-time contract role, 6–12 months, with negotiated severance terms
Retainer — Month-to-month ongoing PM capacity, with 30-day mutual notice for termination
Workflow Automation — One-time, flat-fee scoped projects governed by a standalone SOW
Detailed engagement terms — including pricing, payment schedules, scope, and termination rights — are defined in the executed MSA and SOW for each engagement.
5. Working Hours
Standard service delivery occurs Monday through Friday, 9:00 AM to 5:00 PM Eastern Time. Work outside those hours — including evenings, weekends, and federal holidays — happens only by mutual agreement and is billed at premium rates specified in the applicable MSA. Cutover events, go-live windows, and emergency response are typical examples of pre-scheduled after-hours work.
6. Independent Contractor Status
ACH Project Ventures LLC operates as an independent contractor, not an employee of any client. We carry our own insurance (general liability and professional liability / E&O), pay our own taxes, and manage our own schedule. We integrate with client governance, RACI structures, and reporting cadence — but we are not on any client's payroll.
7. Intellectual Property
Site Content. All content on the Site — articles, copy, graphics, logos, and design elements — is owned by ACH Project Ventures LLC or licensed to us.
You may share article content via standard sharing tools (link, social media share). You may not republish substantial portions of our content without written permission. Excerpting with attribution and a link back is permitted under fair use principles.
Service Deliverables. Intellectual property created during a service engagement is governed by the executed MSA and SOW. Generally:
Client deliverables — Work product created specifically for a client under an SOW (project plans, RACI matrices, custom documentation, configured workflows) becomes the client's property upon full payment.
Our methodologies — Templates, frameworks, and tools we use to deliver services remain our property. Clients receive a perpetual license to use these as embedded in their deliverables.
Third-party IP — Software, platforms, and tools provided by third parties remain subject to those third parties' license terms.
8. Third-Party Content and Links
The Site may link to third-party websites. We are not responsible for the content, accuracy, or practices of those sites. Linking does not constitute endorsement.
9. Disclaimers
The Site and its content are provided "as is." Articles and resources on the Site reflect general professional perspectives and are not legal, financial, technical, or operational advice for any specific situation.
Service engagements are governed by the executed MSA and SOW, which contain the binding terms, warranties, and limitations specific to each engagement. Nothing on the Site supersedes or modifies the terms of an executed service agreement.
We make no warranties, express or implied, about the accuracy, reliability, or availability of the Site, its content, or any information provided through it.
10. Limitation of Liability
Site Use. To the fullest extent permitted by law, ACH Project Ventures LLC is not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Site. Our total liability for any claim related to the Site itself is limited to $100.
Service Engagements. Liability for services delivered under an MSA and SOW is governed by the limitation of liability provisions in the executed agreement, which include caps on damages, exclusions of indirect and consequential damages, and mutual indemnification terms specific to the engagement.
This section does not limit liability for gross negligence, willful misconduct, breach of confidentiality, or indemnification obligations as defined in an executed service agreement.
11. Confidentiality
For service engagements, confidentiality terms are governed by the executed MSA and any separate non-disclosure agreement signed by the parties. We treat confidential information shared during the scoping or engagement process with the same care we apply to our own confidential information, and we will sign client-provided NDAs on request.
12. Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws principles. Any dispute arising from your use of the Site will be resolved in the state or federal courts located in Virginia.
Disputes related to service engagements are resolved according to the dispute resolution provisions of the executed MSA.
13. Changes to These Terms
We may update these Terms. The "Effective Date" at the top reflects the most recent revision. Continued use of the Site after changes constitutes acceptance of the updated Terms.
